Affiliate Marketing Agreement
1. Requirements to Enroll
a) Joining our program is totally FREE!
b) Affiliate may not
link to WCS from a Referring Web Site which promotes SPAM as described in this
Agreement, sexually explicit material, violence, illegal activities such as
software piracy, or discrimination based on race, sex, religion, national
origin, physical disability, sexual orientation, or age.
c) Affiliate must read and agree with this agreement before signing up for our
program.
2. Program Details
This program is a 1-tier affiliate program which means that tier 1 (you) can
earn commissions from your personal sales through the URL that we have assigned
you.
a) The affiliate will be paid 20% (tier 1 payout) for each sale that results
from a visitor that has been referred through the referring URL we have assigned
that affiliate.
b) We pay all affiliates in U.S. dollars on or around the 5th of each month for
the earnings of the prior month. For example: If you make a sale on May 15, then
you will be mailed a check for that sale on or around June 5.
c) There is NO
minimum payment threshold that needs to be earned before we pay. We do
not require you
make a certain number of sales or commissions in order to stay active.
d) We use the Affiliate Tracking System to track and monitor sales activity.
This software will place a cookie on any visitor that comes through the URL we
have assigned you. Your are notified of all orders via email. Credit card
orders are processed "real time" therefore you instantly receive
notification. For any orders via mail or fax, our tracking system hard codes
your affiliate code on that order form so we know who to give the commission to.
You will not receive notification of these types of orders until we receive the
order and enter it in your affiliate records (at this point you will be sent an
email notifying you of the order).
e) Our service can be sold to anyone anywhere in the world. Therefore we accept
affiliates from anywhere in the world. However, remember that our checks are
written in U.S. dollars and we currently only offer English speaking customer
service.
f) You will have access to a private detailed stats page which shows your
account details. Accessible 24 hours per day and 7 days per week. You may access
these stats via a password and username you set when signing up with Affiliate Tracking
Software.
g) Only two entities may access your stats and affiliate information. They would
be you, and the software author (if any maintenance needs to be done).
h) We may occasionally make changes to this affiliate agreement out of
necessity. When we do so, we will notify you via email 7 days in advance.
3. Program Policy
a) We in no way practice unethical techniques for promotion (including SPAM) or
violate any "pyramid" laws. Nor do we sell any illegal products or
services.
b) We will NOT tolerate SPAM. SPAM is sending unsolicited email. It is your
responsibility to ensure that any mailing list is 100% opt in. Further,
affiliate may not advertise or reference WCS within newsgroups. Any damages that
result from your negligence will result in actions being taken for compensation.
In addition you will be terminated as an affiliate losing all rights for any
commissions due to you, generated by you and your sub-affiliates. Remember, your
negligence will not only effect the WCS business but every affiliate and
sub-affiliate's business. Stay safe and don't SPAM.
c) All Services sold by WCS to customers originating from Affiliate's Referring
Web Site or Referral URL -- and processed via WCSA online order forms, telephone
or fax numbers, or mailing address -- qualify to earn Affiliate commission fees
as described below. WCS reserves the right to reject any order that does not
comply with WCSA policy.
d) If a referral of yours orders and later asks for a refund, the commission
paid to you will be deducted from your next monthly commission payment. even
though we are involved in international sales, there are some countries where
some products are not permitted, or where there can be significant delays in
Customs. As a result of these often times unforeseen conditions, and
unpredictable changes in government policies, we may be required to reverse the
credit of a sale if product is returned, or if we find that the order is unable
to be fulfilled.
e) By law, if you live in the U.S. and your commission fee payments accumulate
to $599 in a calendar year, you will be required to provide WCS with a signed
W-9 Form for tax reporting purposes before WCS can make additional commission
fee payments to you during the same calendar year.
f) Every customer who purchases our WCS products is deemed to be a customer of
WCS. You (the affiliate) do not have the authority to make or accept any offer
on behalf of WCS. WCS is not responsible for any representations made by you
which contradict WCS policies, and WCS policies will always determine the
purchase price of WCS products.
g) We will make every effort to ensure that our website and tracking system is
operational. However, certain unavoidable technical difficulties may
occasionally cause temporary service and tracking interruptions. You agree that WCS
is not liable in any way for such interruptions.
h) Title, ownership, and intellectual property rights in the Service shall
remain with WCS. The products are protected by copyright laws and treaties,
trademarks, and patents. Title and related rights in the content accessed
through WCS is the property of the content owner and may be protected by
applicable law. This agreement gives you no rights to such content.
i) You are responsible for ensuring that your advertising obeys all applicable
copyright and trademark laws. WCS grants you the right to use WCS's name in
acceptable marketing materials, but WCS is not responsible for Affiliate's
misuse of any copyrighted material.
j) WCS shall have no liability for any indirect, incidental or consequential
damages, or any loss of revenue arising under or with respect to this agreement
or the WCS Affiliate program, even if WCS has been advised of the possibility of
such damages. WCS's aggregate liability arising with respect to this Agreement
shall in no event exceed the total price paid by the customer.
k) You are an independent contractor, and nothing in this Agreement shall create
any form of partnership, joint venture, franchise, agency, or employment
relationship between the parties. You will not be treated as an employee with
respect to the Internal Revenue Code, Social Security Act, Federal Unemployment
Acts, or any other federal, state, or local statute, ordinance, rule, or
regulation. You shall not assign this Agreement, by operation of law or
otherwise, without the prior express written consent of AM. Subject to the
foregoing, this Agreement is binding upon, insures to the benefit of, and is
enforceable by the parties and their respective successors and assigns.
l) This agreement will stay in effect as along as WCS makes this service
available (unless this agreement is terminated beforehand due to breach of its
terms). You and WCS have the right to terminate this agreement at any time in
writing. You agree that payment will be withheld until correct amount due is
determined.
4. Conflicts and Disputes
As with any program, a conflict or dispute may occasionally arise due to
tracking, orders, commission calculation, performance issues and appeals
regarding "termination for cause". Below is outlined who to contact
and how to handle any such situation.
a) If a concern should arise, send an email stating your full name, your
affiliate ID, your address and state the specifics of your concern. Including
any dates or numbers that apply. We will investigate immediately and will reply
as soon as possible. Contact information can be found on our website.
b) Though we will be more than willing to settle the dispute in as fair a manner
as possible we realize this situation may arise. In this case we will be open to
mediation or arbitration to settle the matter.
c) We have not pre-selected a mediator or arbitrator. Should one be needed WCS
will select a non-biased, third party moderator.
5. Cause for Termination
On rare occasions an affiliate will be terminated (reasons outlined below). We
understand that you will be building a business to generate income and residual
income hopefully long term. Therefore we would only terminate without recourse
someone who has explicitly broken policy.
Any affiliate who is terminated will be notified via email and any affiliate
terminated for the below reasons will not receive any commissions due (including
commissions earned by sub-affiliates).
a) Any affiliate caught violating our SPAM policy will immediately be
terminated. See the SPAM definition within this agreement. b) Any affiliate that
we find our referring URL on a site that promotes SPAM, sexually explicit
material, violence, illegal activities such as software piracy, or
discrimination based on race, sex, religion, national origin, physical
disability, sexual orientation, or age.
c) An affiliate who ignores warnings to cease and desist any activities we deem
negligent, inappropriate, or harmful to WCS and or other affiliates will be
terminated.
